Terms of Service

7. Fees and Payment

Our Services are provided under the following payment terms:

• Fees are as specified in your service agreement or order form
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are exclusive of taxes which are your responsibility

8. Intellectual Property

Ownership of intellectual property is as follows:

• Our IP: We retain all rights to our pre-existing IP, tools, methodologies, and frameworks
• Client IP: You retain rights to your pre-existing IP and data
• Developed IP: Custom developments are assigned to you upon full payment unless otherwise agreed
• Open Source: Some components may be subject to open source licenses

9. Confidentiality

Both parties agree to:

• Maintain the confidentiality of all proprietary information
• Not disclose such information to third parties without consent
• Use confidential information only for purposes of these Terms
• Return or destroy confidential information upon request

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid for the affected services
• We are not liable for third-party products or services
• No liability for events beyond our reasonable control

11. Termination

These Terms remain in effect until terminated:

• Either party may terminate for material breach with 30 days notice
• We may suspend services immediately for violations of these Terms
• Upon termination, you must cease all use of our Services
• Certain provisions survive termination (confidentiality, IP, etc.)

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Salem, Tamilnadu.
